Connect and CEO Circle Memberships
Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and participation in the Connect membership and the CEO Circle membership (together, the “Memberships”) operated by TradieWives, ABN 13 570 404 594 (“TradieWives”, “we”, “us”, “our”).

By purchasing, enrolling in, or accessing a Membership, the person enrolling (“you”, the “Member”) agrees to be bound by these Terms. If you do not agree, you must not purchase or participate in a Membership.

This document replaces and supersedes the previous TradieWives Business Academy Services Agreement in its entirety. Any reference to the “Business Academy” in prior agreements is replaced by reference to the Connect and/or CEO Circle Memberships as applicable.

1. Definitions

• “Account” means the member account created on the Site or community platform which gives the Member access to the Services.
• “CEO Circle” means the premium tier of Membership described in clause 3.
• “Connect” means the standard tier of Membership described in clause 3.
• “Commencement Date” means the date the Membership begins, being the date on which the Fee is first paid.
• “Fee” means the price for the selected Term, as set out on the Site or checkout page at the time of purchase.
• “Membership” means either the Connect membership or the CEO Circle membership, as the context requires.
• “Services” means the services made available to the Member as part of their Membership, as described in clause 3.
• “Site” means the TradieWives website, member portal, and any associated community or booking platforms through which the Services are delivered.
• “Term” means the billing cycle selected by the Member – Monthly, Quarterly (CEO Circle only) or Yearly — as set out in clause 4.

2. Agreement to Provide Services

1. This Agreement is formed when the Member accepts these Terms and completes payment of the applicable Fee when creating their Account.
2. We may update these Terms from time to time. If we make a material change, we will notify Members by email, and the updated Terms will apply from the date specified in that notice.
3. Continued participation in the Membership after a change to these Terms takes effect constitutes acceptance of the updated Terms.

3. Memberships and Services

TradieWives offers two Membership tiers:

3.1 Connect Membership

Connect membership includes:

• Access to the TradieWives community platform and member, only groups;
• Access to community content, resources and discussions relevant to women connected to the trades industry;
• Access to the TradieWives business directory of partner services (subject to clause 6);
• Such other inclusions as are listed on the Site or checkout page at the time of purchase.

3.2 CEO Circle Membership

CEO Circle membership includes everything in Connect, plus:

• Access to rotating expert coaching sessions covering business strategy, leadership and mindset, website and SEO, and HR;
• Access to CEO Circle community channels and events;
• Such other inclusions as are listed on the Site or checkout page at the time of purchase.

3.3 General

1. The specific inclusions of each Membership tier are those listed on the Site or checkout page at the time of purchase.
2. We reserve the right to update, replace, modify or discontinue any aspect of a Membership – including content, delivery format, facilitators, schedules, platforms or structure at any time, provided the overall intent and value of the Membership tier is maintained.
3. The Member will access the Services through the Site, the TradieWives community platform, Zoom, and any other means directed by TradieWives.
4. The Member is responsible for keeping their Account login details confidential and is responsible for all activity occurring under their Account.
5. The Member must not engage in any activity that interferes with or disrupts the Services or the platforms through which the Services are delivered.

4. Fees, Membership Terms and Cancellation

Members select a Term when creating their Account. Available Terms differ by Membership tier, as set out below:

4.1 Monthly Term

1. Available to both Connect and CEO Circle Members.
2. The Fee is billed monthly in advance from the Commencement Date.
3. A Member on a Monthly Term may cancel at any time by giving TradieWives at least 30 days’ written notice. The Membership and billing will continue for the remainder of the notice period, and will end at the conclusion of that 30-day period.

4.2 Quarterly Term (CEO Circle only)

1. Available to CEO Circle Members only.
2. The Fee is billed every three (3) months in advance from the Commencement Date.
3. A Member on a Quarterly Term may cancel at any time by giving TradieWives at least 90 days’ written notice. The Membership and billing will continue for the remainder of the notice period, and will end at the conclusion of that 90-day period.

4.3 Yearly Term

1. Available to both Connect and CEO Circle Members.
2. The Fee is billed annually in advance from the Commencement Date.
3. The Yearly Term automatically renews for a further 12-month period at the end of each annual cycle, unless cancelled in accordance with this clause.
4. Members on a Yearly Term cannot cancel during the current 12-month period. Cancellation requests must be submitted by contacting TradieWives directly and can only be actioned after the Membership has renewed for the next annual cycle. Once actioned, the cancellation will prevent any further renewal, and the Membership will continue until the end of the then-current paid annual period.

In practice, this means a Yearly Member who wishes to cancel should contact TradieWives at any time; the cancellation will be processed and will take effect from the next renewal, rather than during the year already paid for.

4.4 Payment

1. Fees are payable in Australian Dollars (AUD) and include GST where applicable.
2. Payments are processed via TradieWives’ nominated third-party payment processor. The Member is responsible for all transaction fees, bank fees, currency conversion fees and failed payment fees.
3. Where a payment fails, is reversed or is disputed, TradieWives may suspend or restrict the Member’s access until payment is successfully processed. Continued non-payment may result in termination of the Membership without refund.
4. Pricing for a given Term may change with reasonable notice to the Member; any change will take effect from the Member’s next billing cycle.

4.5 No Refunds for Change of Mind

1. Except as set out in clause 4.6 or as required by the Australian Consumer Law, Fees are non-refundable, including for change of mind, lack of usage, dissatisfaction with content, scheduling conflicts or perceived lack of results.
2. Nothing in these Terms excludes the Member’s rights under the Australian Consumer Law. Where a major failure occurs, the Member may be entitled to a refund or remedy as required by law.

4.6 Termination by TradieWives

1. TradieWives may suspend or terminate a Membership immediately, without refund, if the Member breaches these Terms, engages in misconduct, fails to pay Fees when due, or behaves in a way that causes harm to TradieWives, its team, or other members of the community.
2. Termination under this clause does not relieve the Member of their obligation to pay any Fees already due.

5. Community Conduct and Behaviour

By joining a Membership, the Member agrees to:

• Act respectfully and professionally toward TradieWives, its team, other Members, guests and moderators;
• Maintain confidentiality of other Members’ personal stories, business information and shared experiences;
• Not engage in harassment, bullying, discrimination, hate speech, spamming, solicitation, or self-promotion without consent;
• Not provide unlicensed financial, legal, medical or professional advice to other Members;
• Not disrupt sessions, dominate conversations, or otherwise negatively impact the community experience.

TradieWives reserves the right to remove content, restrict participation, mute, suspend or terminate a Membership without refund if these community standards are breached.

6. Third-Party Services and Directory Partners

1. Part of the Services includes access to third-party service providers through the TradieWives business directory, guest experts and masterclasses.
2. TradieWives does not control, endorse, guarantee or take responsibility for the advice, conduct, content or outcomes of any third-party provider, and the Member engages with them at their own discretion and risk.
3. Any engagement the Member has with a third-party provider outside of the Membership is a separate agreement between the Member and that provider, and TradieWives is not liable for any loss or damage arising from that relationship.

7. No Professional Advice and No Guarantees

1. All information shared within the Membership is general in nature and does not take the Member’s personal circumstances into account. Nothing provided through the Membership constitutes personalised financial, legal, business, taxation or professional advice.
2. Before making any financial, legal or business decisions, the Member should seek advice from a suitably qualified professional who understands their specific circumstances.
3. TradieWives makes no guarantees about the Member’s business outcomes, income, or results of any kind. Outcomes depend on factors including the Member’s effort, circumstances, and decisions.
4. Examples, testimonials or case studies shared within the Membership do not represent typical results and are not guarantees of performance.

8. Intellectual Property

8.1 TradieWives Materials

1. All content provided within the Membership including videos, templates, frameworks, branding, recordings, written materials and methodologies (“Materials”) is owned by or licensed to TradieWives and protected by intellectual property law.
2. The Member is granted a limited, revocable, non-transferable, non-exclusive licence to access and use the Materials for their own personal or internal business use only.

The Member must not:

• Copy, reproduce, distribute, publish, sell, sublicense, share or exploit the Materials;
• Record, screen capture, download or redistribute live sessions without permission;
• Use the Materials to create competing products, programs or services;
• Share their Account login details or grant access to any third party.

1. Breach of this clause may result in immediate termination and legal action, and survives termination of the Membership.

8.2 Member Feedback

1. The Member retains ownership of their own business data and original business intellectual property shared within the community. However, by providing feedback, suggestions or testimonials, the Member grants TradieWives a royalty-free, perpetual licence to use that feedback to improve the Membership offering, without compensation to the Member.

9. Recordings and Use of Likeness

1. Group calls, workshops and coaching sessions may be recorded as part of the Services. Recordings may be uploaded to the member portal and may remain accessible to current and future Members indefinitely.
2. By participating in a recorded session, the Member grants TradieWives a perpetual, royalty-free, worldwide, non-exclusive licence to use, reproduce and distribute excerpts, anonymised clips or screenshots of that recording for marketing, social media and website purposes.
3. TradieWives will not include any sensitive or confidential financial or personal data shared by a Member during a session in external marketing materials without that Member’s express written consent.
4. A Member who does not wish to be visually captured may keep their camera off during live sessions. A Member may request in writing that their likeness not be used for external marketing; however, the Member’s presence (including name mentions and chat contributions) may remain part of the internal member portal recording for current and future Members.

10. Access, Technology and Use of AI

1. The Membership is delivered via online platforms which may change from time to time. The Member is responsible for their own internet access, devices and technical capability.
2. TradieWives does not guarantee uninterrupted access to the Membership and is not responsible for access issues caused by technology failures, platform outages, internet disruptions or third-party service interruptions.
3. The Member acknowledges that TradieWives may use third-party artificial intelligence tools to enhance the Membership experience, including generating transcriptions or summaries of sessions, analysing community engagement, and powering support functions. Where data is processed by AI tools, TradieWives will ensure such providers adhere to industry-standard security protocols.

11. Privacy

1. TradieWives is subject to the Privacy Act 1988 (Cth) and handles personal information in accordance with its Privacy Policy, available on the Site.
2. By enrolling, the Member consents to the collection, use and storage of their personal information as described in the Privacy Policy.

12. Limitation of Liability

1. Except as expressly provided in these Terms, to the maximum extent permitted by law, TradieWives excludes all other warranties, conditions and guarantees not expressly stated in these Terms.
2. To the maximum extent permitted by law, TradieWives is not liable for any indirect, incidental, special, consequential or economic loss, including loss of profit, revenue, opportunity, goodwill or anticipated savings, arising from the Member’s use of the Services.
3. Where any liability cannot lawfully be excluded, TradieWives’ liability is limited, at its sole discretion, to either re-supply of the Services or the cost of having the Services re-supplied.
4. Nothing in these Terms limits any liability that cannot be excluded under the Australian Consumer Law.

13. Indemnity

The Member agrees to indemnify and hold harmless TradieWives and its officers, contractors, employees and agents from any loss, damage, liability or cost (including legal costs) arising from the Member’s breach of these Terms, misuse of the Services or Materials, or reliance on content provided through the Membership.

14. Force Majeure

TradieWives is not liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, pandemics, power outages, cyber incidents, internet failures, or platform outages. TradieWives may suspend, delay or modify delivery of the Services during such events without liability.

15. General

1. These Terms, together with any checkout page terms and referenced policies, constitute the entire agreement between the Member and TradieWives and supersede all prior agreements, including the previous TradieWives Business Academy Services Agreement.
2. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
3. Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between the Member and TradieWives.
4. The Member may not assign or transfer their rights under these Terms without TradieWives’ prior written consent. TradieWives may assign or transfer its rights and obligations under these Terms at any time.
5. The Member acknowledges that TradieWives may identify them as a member on its Site, marketing materials, social media or other public communications, subject to clause 9.
6. These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of its courts.
